6. Fees and Payment Terms

If you engage the Company for services, the following payment structure will apply:

  • Phase 1: 40% upfront payment to begin the project.
  • Phase 2: 40% upon finalization of design.
  • Phase 3: 20% upon project completion and before handover.

All source files and project materials will be delivered once full payment is received. An advance payment notification will be sent once the proposal is accepted.


7. Supply of Materials

You must provide all materials and information necessary to complete the work, such as photographs, written content, logos, or other relevant project materials. Delays in providing these materials may lead to delays in the project completion, for which the Company reserves the right to extend deadlines.


8. Design Approval and Modifications

Once you approve the design, any modifications will be subject to additional charges. You will be notified when the work is complete and given an opportunity to review it. Any unsatisfactory points must be communicated in writing within 7 days of the notification. After this period, the work will be considered approved.


9. Intellectual Property and Licensing

Upon full payment for the services rendered, you will be granted a license to use all project-related materials. You must obtain necessary permissions for the use of any third-party intellectual property, such as logos, trademarks, or copyrighted content, in your project. You indemnify the Company against any legal claims related to your use of such content.


10. Subcontracting

The Company reserves the right to subcontract any services that we have agreed to perform for you, as deemed necessary.


11. Confidentiality and Non-Disclosure

The Company and any subcontractors agree not to disclose your confidential information to third parties. The Company will keep all client data confidential and ensure it is protected.


12. Amendments and Addendums

This agreement is considered final, but may be amended or added to if necessary, particularly due to the dynamic nature of healthcare services. Any amendments or addendums will require written agreement from both parties.


13. Governing Law

This agreement will be governed by and construed in accordance with the laws of [Your State], India. Any disputes arising under or in connection with this agreement shall be subject to the exclusive jurisdiction of the courts in [City, State].


14. Limitation of Liability

The Company shall not be liable for any direct, indirect, incidental, or consequential damages resulting from the use or inability to use the Site or the services offered, even if the Company has been advised of the possibility of such damages.
